1. Acceptance of Terms

By accessing or using Vinty POS (“the Service”), operated by POS Outlet, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Service. These terms apply to all users of the Service, including store owners, administrators, cashiers, and dealers.

2. Description of Service

Vinty POS is a cloud-based point-of-sale software platform designed for consignment stores and thrift shops. The Service includes inventory management, transaction processing, dealer management, payout tracking, barcode label printing, customer loyalty programs, and related features accessible via web browsers.

3. Accounts and Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Store owners are responsible for managing user accounts within their tenant, including dealer, cashier, and admin accounts.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features. At the end of the trial period, your account will be placed in read-only mode. You will retain access to view your data (dashboard, reports, transaction history) but will be unable to process new transactions, add inventory, or modify records until you select a plan.

5. Pricing and Payment

Vinty POS is offered free of charge to stores that use POS Outlet’s cash discount payment processing program. Stores that wish to use their own payment processor pay a monthly subscription fee of $29.99. Pricing is subject to change with 30 days’ notice. There is no difference in features between plans.

6. Acceptable Use

You agree to use the Service only for its intended purpose of managing a consignment or thrift store. You may not use the Service to process transactions for illegal goods or services, attempt to gain unauthorized access to other tenants’ data, reverse-engineer or copy the Service, resell or sublicense the Service without written permission, or transmit malware or harmful content through the Service.

7. Data Ownership

You retain ownership of all data you enter into the Service, including inventory records, transaction history, dealer information, and customer data. We do not claim ownership of your data. We use your data solely to provide and improve the Service as described in our Privacy Policy.

8. SMS Messaging Terms

The Service includes SMS text messaging capabilities for transactional communications. By enabling SMS features, you agree to the following:

Messages are sent for transactional purposes only, including account notifications, digital receipts, password resets, and loyalty program updates. No marketing messages are sent via SMS.

You are responsible for ensuring that recipients have opted in to receive SMS messages before enabling SMS notifications for dealers or customers.

Recipients may opt out at any time by replying STOP. Standard message and data rates may apply.

SMS delivery is provided through Twilio and is subject to carrier availability. We do not guarantee delivery of every message.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice when possible. We are not liable for any loss resulting from service interruptions, including lost sales or missed transactions.

10. Limitation of Liability

To the maximum extent permitted by law, POS Outlet and Vinty POS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may cancel your account at any time by contacting us. We may suspend or terminate your account if you violate these terms. Upon termination, your data will be retained for 90 days to allow for reactivation, after which it may be permanently deleted.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
